No provision of the Agreement shall be considered waived unless such waiver is accepted by the party that benefits from the enforcement of such provision by action of a click in a specific check box with the text “I agree”, which shall be published on the Sola Project website in such case. The Company may change suspend or discontinue the Sola project and its Services at any time, including the availability of any feature, database, or Content.2. ACCEPTANCE OF THE TERMS2.1. When using the Sola project the User is obliged:— To comply with the provisions of this Agreement and other special documents of Sola project;— Not to post such information and objects (including links thereto) which may infringe the rights and interests of other persons;— Before posting information and objects (including but limited to other people’s images, texts of various content, audio records and videos), to assess in advance whether such posting is lawful;— To keep confidential and not to disclose to other Users and third parties the personal data which became known to him/her as the result of communication with other Users and other use of the Sola project (including but not limited to home addresses, phone numbers, e-mail, messenger’s addresses, social network’s profiles, passport details, banking information) and information on the private life of other users and third parties without the appropriate prior permission of the latter;4. CONTENT4.1. Company has established the rules set forth below with respect to Content. Please note that these rules do not create any third party rights or create any private right of action, but may be enforced solely by PLAG Limited in its sole discretion.4.2. PLAG Limited may review any Content. The decision by Company does not take action to enforce these rules in a particular instance will not be considered a waiver of any right to do so in the future or in other situations.4.3. When using the Sola project the User is restricted from uploading any content related to:— Impersonalization: You may not impersonate others through the Sola project in a manner that does or is intended to mislead, confuse, or deceive others.— Private Information: Respect the rights of other users.— You may not publish or post other people's private and confidential information, such as credit card numbers, phone numbers, street address or Social Security/National Identity numbers, real names and other personal data without their express authorization and permission.— You may not post intimate photos or videos that were taken or distributed without the subject's consent.— You may not post, comment, or store content that violates or infringes someone else's rights of publicity, privacy, copyright, trademark, or other intellectual-property right, bullies, harasses, or intimidates, defames, spams or solicits Sola's users.— Violence and Threats: You may not publish or post direct, specific threats of violence against others.— Unlawful Use: You may not use our service for any unlawful purposes or in furtherance of illegal activities. International users agree to comply with all local laws regarding online conduct and acceptable Content.— Misuse of Sola Badges: You may not use badges such as but not limited to the Promoted or Verified Sola project badge, unless provided by the Sola project. PLAG Limited strives to protect its users from abuse and spam. User abuse and technical abuse are not tolerated on Sola project and may result in permanent suspension. Any accounts engaging in the activities specified below may be subject to permanent suspension.— Serial Accounts: You may not create multiple accounts for disruptive or abusive purposes or with overlapping use cases. Mass account creation may result in suspension of all related accounts. Please note that any violation of the Sola project rules is cause for permanent suspension of all accounts.— Targeted Abuse: You may not engage in targeted abuse or harassment. If the reported behavior is one-sided or includes threats it is considered as targeted abuse or harassment.— Selling Accounts: You may not buy or sell Sola project accounts.— Malware/Phishing: You may not publish or link to malicious Content intended to damage or disrupt another user’s browser or phone or to compromise a user’s privacy.— Sensitive Content: You may not use the Sola project to spread sensitive content. By using the Sola project and/or the Services, you acknowledge and agree that:All content that You have transmitted through the Sola project, is your sole responsibility.4.8. Under no circumstances will PLAG Limited be liable in any way for any content or for any loss or damage of any kind incurred as a result of the use of any content, emailed or otherwise made available via the Sola project and/or the Service.If you post any comments or content to the Sola project, unless we indicate otherwise, you grant PLAG Limited and its affiliates a nonexclusive, royalty-free, perpetual, irrevocable and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform and display such content in connection with: providing and promoting the Services; and/or exercising the rights granted in these Terms of service.5. VIRTUAL CURRENCY5.1. Sola project uses virtual currencies: AT and SOL. AT is a based virtual currency and used for creating posts, comments and vote for quality content. Virtual currencies SOL and AP have no monetary value and do not constitute currency or property, do not represent or constitute any ownership right or stake, share or security or equivalent rights or any right to receive future revenue shares, or any other form of participation in or relating to. SOL and AP are non-refundable. You are not entitled to a refund for any unused virtual currency.6. SECURITY6.1. Use of the Sola or Services to violate the security of any computer network, crack passwords or security encryption codes, transfer or store illegal material including that are deemed threatening or obscene, or engage in any kind of illegal activity is expressly prohibited.6.2. Under no circumstances will User use the Sola or the Service to:
(a) send unsolicited e-mails, bulk mail, spam or other materials to users of the Sola or any other individual,
(b) harass, threaten, stalk or abuse any person or party, including other users of the Sola,
(c) create a false identity or to impersonate another person, or
(d) post any false, inaccurate or incomplete content or delete or revise any content that was not posted by You.6.3. The Company may take reasonably security precautions when using the internet, telephone or other means to transport date or other communications, but expressly disclaims any and all liability for the accessing of any such data communications by unauthorized persons or entities.7. FRAUD7.1. Company strives to protect its users from unfair actions. Fraud and technical abuse are not tolerated on Sola project and may result in permanent suspension. Any accounts engaging in the activities specified below may be subject to permanent suspension.(a) Serial accounts. You may not create multiple accounts for fraud or unfair purposes or with overlapping use cases. Mass account creation may result in suspension of all related accounts. Please note that any violation of the Sola project rules is cause for permanent suspension of all accounts.(b) Unfair votes. Only fair votes by interested users are considered qualitative by Sola. You may not use any third party software or services or other resources to falsify the amount of votes on your or other users’ posts. You may not incentivize users in any way to vote on your card both inside or outside Sola. You may not ask for endorsements or interfere in the natural way of spread algorithm. Collusion with other users to endorse cards each other is prohibited and can be lead to block all involved parties. All means and methods that artificially increase or otherwise change the number of votes are prohibited without exception.(c) Special software and services. Prohibited using software, as well as other tools  for automatically browse's purpose and to force the user to vote.7.2. Third party websites are not within the supervision or control of the Company or the Sola. Unless explicitly otherwise provided, neither the Company nor the Sola make any representation or warranty whatsoever about any third party Sola that is linked to the Sola project, or endorse the products or services offered on such Sola. The Company and the Sola project disclaim: (a) all responsibility and liability for content on third party websites and (b) any representations or warranties as to the security of any information (including, without limitation, credit card and other personal information) User might be requested to give any third party, and User hereby irrevocably waive any claim against the Sola project or the Company with respect to such websites and third party content.9. PRIVACY9.1. Please review our Privacy Policy, which governs the use of personal information on the Sola and to which User agrees to be bound.9.2. The Company process your personal information, the traffic data and the content of Your communication(s) in accordance with our <>Privacy policy.

1. INTELLECTUAL PROPERTY

10.1. Exclusive rights in the Sola Content:(a) All objects placed on the Sola project, including design elements, text, graphic images, illustrations, videos, scripts, software, music, sounds and other objects and their collections (hereinafter the Content) are subject to exclusive rights of the Plag Limited, Users and other rights holders, all rights in these objects being reserved.(b) Except as provided by these Terms of service as well as by effective legislation, no Content may be copied (reproduced), processed, distributed, displayed in the frame, published, downloaded, transferred, sold or otherwise used in full or in part without the prior permission of the right owner, unless the right owner has expressly agreed to free use of the Content by any person. Reproducing, copying, collecting, systemizing, storing and transferring the Content in order to create a database whether for commercial and/or non-commercial purpose and/or using the Content in whole or its part regardless of the way of use is not allowed without the Company’s consent.(c) By posting on the Sola project his/her lawfully owned Content, the User grants the other Users a non-exclusive right to use it in the framework of the functional provided by the Sola by viewing, reproducing (including copying) and other rights exclusively for the purpose of personal non-commercial use, except where such use infringes or may infringe the right owner’s interests protected by law.(d) The Content made available exclusively for the purpose of personal non-commercial use may be used by the User on the condition that all copyright marks or other authorship notices, name of the author and the work remain unchanged.(e) The User grants to the Company a non-exclusive right to use on a free of charge basis the Content published on the Sola and which lawfully belongs to him/her, so that the Company may maintain the operation of the Sola project in the amount established by its architecture and functionality, and to use this Content for the Sola promotional content, including images of the Sola interface, including without limitation making this promotional content public. The said non-exclusive right is granted for the period when the Content is placed on the Sola and extends to the territory of the countries all over the world. The end of the period when the Content is placed on the Sola and /or the end of the non-exclusive right duration do not carry a necessity of deletion by the Company of this promotional content with the said Content (including its removal from the Internet). The Company has a right to transfer these rights described in this clause to the third-parties. The User accepts that the Company has a right to use functional and technical capabilities of the Sola that provide displaying of the published Content by the User, including player, meant to display the Content at its own discretion, including for the purpose of showing the advertising information.(f) If the User deletes his/her Content from the Sola, the non-exclusive right mentioned in clause (f) hereof will be automatically revoked, however, the Company reserves the right to keep backup copies of the User’s Content during the required period of time, if needed due to technical peculiarities of the Sola operation.(h) Except his/her own Content, the User does not have the right to upload or otherwise make available to the public (publish on the Sola) the content of other websites, databases and other intellectual activity results without the express consent of the right owner.(i) Any use of the Sola or Content, except as permitted herein or except the right owner consents to such use in writing, without the prior written permission of the right owner is categorically prohibited.(j) Unless otherwise expressly provided in this Agreement, nothing in this Agreement may be considered as the grant of exclusive rights in the Content.10.2. Liability for the infringement of exclusive rights:

1. The User bears personal liability for any Content or other information he/she uploads or otherwise makes publicly available (publishes) on or via the Sola. The User does not have the right to upload, transfer or publish Content on the Sola unless he/she has appropriate rights to do so, such rights being acquired by or transferred to him/her in accordance with relevant legislation.
2. The Company has the right but is not obliged to check the Sola project for prohibited Content and can delete or remove (without giving advance notice) any Content or Users at its own discretion for any reason or without reason, including, without limitation, removal or deletion of the Content which, in the personal opinion of the Company, infringes these Terms of service, applicable law and/or may infringe the rights of, cause damage to, or threaten the security of other Users or third parties.
3. By posting his/her Content on the Sola project, the User grants the Company the right to copy his/her Content in order to streamline and facilitate the publication and storage of the user Content on the Sola.
4. By posting his/her Content in any part of the Sola, the User automatically grants the Company free of charge the non-exclusive right to use it by copying, public performance, reproduction, processing, translation and distribution for or in connection with the purposes of the Sola, including for the purpose of increasing its popularity. For these purposes, the Company may produce derivative works or insert the User’s Content as components in relevant collections or take other actions for these purposes.
5. In case the User removes his/her Content from the Sola, the rights mentioned in clauses (c) and (d) hereof will be automatically cancelled; however, the Company has the right to keep archive copies of the user Content for an indefinite period.

11. LIMITED LICENSE11.1. We grant to the end User a limited, non-sublicensable, non-exclusive and revocable license to access and make use of the Sola project, the Mobile applications and the Materials solely in accordance with, and subject to, these Terms and any other of our policies as said on the Sola project.11.2. Except as otherwise expressly permitted by these Terms, you may not:collect, use, copy or distribute any portion of the Sola project or the Materials; resell, publicly perform or publicly display any portion of the Materials; modify or otherwise make any derivative uses of any portion of the Sola project, the Mobile applications or the Materials; use any "deep-link," "page-scrape," "robot," "spider" or other automatic device, program, algorithm or methodology which perform similar functions to access, acquire, copy, or monitor any portion of the Sola project; use Sola project in a manner which results in the depletion of Web Sola infrastructural resources; download (other than page caching) any portion of the Sola project, the Materials or any information contained therein or use the Sola project or the Materials other than for their intended purposes.12. TAXES12.1. It is your responsibility to determine what, if any, taxes apply to the transactions you for which you have submitted transaction details via the Sola project, and it is your responsibility to report and remit the correct tax to the appropriate tax authority. You agree that Plag Limited is not responsible for determining whether taxes apply to your Sola project transactions or for collecting, reporting, withholding or remitting any taxes arising from any Sola project transactions.    13. NOTICES AND CLAIMS13.1. Company may give notice of a claim of copyright infringement to our users by means of a general notice on the Services, electronic mail to a user's email address in our records, or by written communication sent by mail. In accordance with the applicable law, Company has adopted a policy of terminating, in appropriate circumstances and at the sole discretion of Company, account holders who are deemed to be repeat infringers. Company may also at its sole discretion limit access to the Services of the Sola project and/or terminate the accounts of any users who infringe any intellectual property rights of others, whether or not there is any repeat infringement.13.2. If you believe that anything on the Services infringes upon any copyright which you own or control, you may send a notification of such infringement.14. APPLICABLE LAW AND DISPUTE RESOLUTION14.1. This Agreement shall be governed by and interpreted in accordance with the laws of England and Wales without regard to its conflict of laws provisions. The exclusive jurisdiction and venue of any action with respect to the subject matter of this Agreement shall be the relevant courts in London, United Kingdom, and each of the parties hereto waives any objection to jurisdiction and venue in such courts. However, we reserve the right to seek injunctive relief in any jurisdiction when we deem it necessary.15. IDEMNITY15.1. User will indemnify and hold PLAG Limited, its directors, officers and employees, harmless, including costs and attorneys' fees, from any claim or demand made by any third party due to or arising out of User’s access to the Sola, use of the Services, the violation of this Agreement by User, or the infringement by User, or any third party using the User’s account, of any intellectual property or other right of any person or entity.16. TERMINATION OF THE TERMS16.1. You may terminate relationship with PLAG Limited at any time by closing your Sola project account, or otherwise ceasing to use the Services. You acknowledge and agree that by terminating your relationship with PLAG in the way stipulated in this section you will lose all access to your Sola project account and it no longer be available to you. We will not be responsible and will not have any obligation to restore and/or reinstate your Sola project account or any data lost. All virtual currencies such as AP and SOL will be deleted from your Sola project account and cannot be restored.16.2. Without limiting other remedies, Sola project may suspend or terminate this Terms with you, or may terminate or suspend your use of the Services at any time if:(a) you are in default of these Terms;(b) you are engaged in illegal actions, or infringe proprietary rights, rights of privacy, or intellectual property rights of any person, or any third party rights, or otherwise create risk or possible legal exposure for us;(c) required by applicable laws/regulations and within the time limits as required by such laws/regulations;(d) we decide to cease offering the Services generally.16.3. Upon termination of this Terms: (a) all licenses and rights to use the Services shall immediately terminate; (b) you will immediately cease any and all use of the Services.16.4. Any suspension or termination of this Terms will not affect your obligations to PLAG under these Terms (including, without limitation, proprietary rights and ownership, indemnification and limitation of liability, confidentiality), which reasonably are intended to survive such suspension or termination. We reserve the right to change or modify any provisions of these Terms or guidelines governing your use of the Services, at any time in our sole discretion and without liability to users. Any such changes or modifications will be effective immediately upon posting of revisions on the Sola project. Your continued use of the Services following the posting of such changes or modifications constitutes your acceptance of the Terms. Therefore, you should frequently review these Terms or guidelines on the Sola project in order to understand the terms and conditions applicable to your use of the Services.
