The Brazilian SEC (“Comissão de Valores Mobiliários” or CVM for short) issued a statement on the 11th of October, 2017 regarding Initial Coin Offerings (ICOs) and, incidentally, also about cryptocurrencies and crypto exchanges.
Yesterday, I wrote an article in Portuguese about this (available in Medium), but the main points are:
If there is a “public offering”, then an ICO operation could be considered a security
In order to decide whether something is a security, the CVM will apply the “Howey Test”. Therefore, if: a) it’s an investment of money; b) it’s a common enterprise; c) there’s the expectation of profit, primarily from the efforts of others; then it is a security.
ICOs that are considered to be securities and that did not comply with the CVM’s regulations are subject to sanctions
There is formal recognition of the possibility of ICOs that are not to be considered securities and, thus, would not be required to comply with the CVM regulations (such as those that do not technically involve “public offerings”)
Virtual currency exchanges are not currently authorised by the CVM to operate in Brazil

Muito obrigado, Wagner! Precisamos ficar atentos, já que a regulamentação, que é necessária, pode complicar a inovação e os investimentos. Do jeito que está, fazer a incorporação da pessoa jurídica em outro país parece ser a melhor opção, em termos de riscos regulatório.
